Merchant Bank, Sponsoring Bank, Money Transmitter, and Merchant Processor Policy

Zggly the ("Company") offers its customers to use credit and debit cards to pay for their order or to complete a transaction (“AKA Form of Payment Method”). Zggly.com accepts Visa, Mastercard, American Express, Discover, and other partner cards that may be affiliated, unknown, or not listed to other card brands or networks.

Zggly.com partners, receives services and has the ability to accept credit and debit cards from its customers by working with 3rd party entities such as merchant banks, sponsoring banks, money transmitters, and merchant processors. Due to being in a high-risk industry, with certain high ticket item amounts, and several other variables within the terms and policies that may be applicable to Zggly.com during the time of service, its merchant bank and/or merchant processor policy may change at any time.

When Zggly.com makes use of credit and debit cards available as an available payment method, Zggly is at all times in full compliance to the terms of use, conditions, and policies of the merchant bank and merchant processor.

Due to the current marketplace, merchant banks and merchant processors can change its terms, conditions, and policies without providing Zggly.com prior written notice. Sudden changes to our the ("Company") merchant account terms and agreement may include, but not limited to the following actions, beyond our control:

1. Payment holds
2. Reserve balances
3. Changes to processing volume
4. Change to per transaction ticket amounts (Low, mid, or high ticket amount)
5. Suspended account
6. Transaction reviews
7. Account reviews
8. Change of agreement terms and conditions
9. Inability to process any cards
10. Merchant account holds
11. Merchant account closure

In the event our merchant bank or merchant processor intervenes with Zggly.com and decides at any given time to make changes to its agreement terms, policies, or any other unforeseen conditions, Zggly.com and its affiliates, successors, shareholders, employees, contractors, attorneys, and consultants will not be held liable for any claims or damages. Service interruptions, punitve damages, liabilities, or any other unforeseen matters may include, but are not limited to the following:

1. Technical or non-technical inability to process a customer transaction (Credit, Debit, Refund, or any other actions that may relate to the processing of any transaction type).

2. Release of funds to Zggly.com (“Payouts”) by the merchant bank or merchant processor.

3. Inability to issue refunds by Zggly.com directly.

4. Full or partially allocated funds taken to be held in a reserve balance by the merchant bank or merchant processor.

5. Merchant bank or merchant processor company technical or non-technical issues.

6. Merchant bank or merchant processor account termination notice.

7. Chargeback initiation notice by Zggly.com to the customer in the event the merchant bank or merchant processor will hold or not release payouts.

8. Loss of funds due to any or unforeseen errors and omissions by the merchant bank or merchant processor.

9. Merchant bank or merchant processor business interferences of any kind.

10. Service interruptions of any kind by the merchant bank or merchant processor that incapacitate Zggly.com from any daily operations, or the ability to fulfill orders.

11. Handling, responding, challenging, or resolving customer disputes or chargebacks.

12. Any type of electronic data transmission errors or glitches beyond Zggly's control.

13. Any type of account or data blockage by any 3rd party entity preventing Zggly.com the ability to initiate an action related to any transaction for any reason which in result may cause damages to the customer.

If issues above listed occur prior, during, or after a transaction is placed, Zggly.com will work diligently and try to mitigate and resolve any potential damages or losses within the confines of the matter to the best of its ability. However, if Zggly.com is not successful in any resolution, the customer understands and agrees that using a credit or debit card as a form of payment to pay for an order may be subject to risks, damages, liabilities, and or potential losses that may be imposed by the merchant bank or merchant processor and beyond Zggly.com’s control.

Zggly.com - Hold Harmless and Indemnification Policy

Without limitation, all customers of Zggly.com agree to indemnify, defend, hold harmless and release Zggly.com, its staff, agents, employees, consultants, vendors, shareholders, attorneys and owners from all known and unknown claims, past, present and in perpetuity, its damages, losses or expenses, including, but not limited to, attorney fees and costs in connection with the performance of the plethora of services and products provided by Zggly.com or its vendors resulting from the services by its merchant bank or by its processor, either directly or indirectly.

Zggly.com shall not be liable or responsible to its customer or vendor in the event of any failure or delay in fulfilling or performing any terms under its agreements to the extent such failure or delay is caused by or results from acts beyond its control, including, not limited to, acts of God, floods, pandemic, earthquake or explosition, war, invasions, terrorist acts or threats, riot or civil unrest, government order, embargoes or blockades, shortgage of supplies, union strikes or any other acts beyond the control of Zggly.com or its Merchant Bank or Merchant Processor.
